These Terms & Conditions ("Terms") govern your access to and use of www.theinnatelife.com (the "Site") and purchases made from The Innate Life ("The Innate Life," "we," "us," or "our").

By accessing or using our Site or purchasing products from us, you agree to these Terms and to our Privacy Policy, Shipping & Handling Policy, and Return Policy, which form part of these Terms.

Please read these Terms carefully before using our Site or placing an order.

Nothing in these Terms is intended to exclude, restrict or limit any rights or remedies that cannot lawfully be excluded under applicable consumer-protection or other laws.

1. ABOUT THE INNATE LIFE

The Innate Life is a Canadian haircare and personal-care business based in Ontario, Canada.

Our online store is hosted by Shopify, which provides the e-commerce platform through which our products are offered for sale.

References to "you," "your," or "customer" mean a person accessing our Site or purchasing our products.

2. USE OF OUR SITE

You may use our Site only for lawful purposes.

You agree not to:

• Use the Site for fraudulent, unlawful or unauthorized purposes
• Provide false or misleading information

• Attempt to gain unauthorized access to the Site, customer accounts or our systems

We make reasonable efforts to ensure that product descriptions, photographs, ingredient information, sizes, pricing and other information displayed on our Site are accurate.

However, slight differences may occur between how products appear online and how they appear in person, including differences caused by screens, photography, packaging updates and natural ingredient variations.

Because our products contain naturally derived ingredients and are produced in small batches, variations in colour, scent, texture, consistency or appearance may naturally occur between batches.

These natural variations do not necessarily indicate that a product is defective or has changed in quality.

Product packaging, labels, ingredients, containers and specifications may occasionally be updated.

Customers should always review the ingredient list, directions and warnings provided with the product before use.

4. PRODUCT AVAILABILITY

All products are subject to availability.

We may, where reasonably necessary:

• Limit quantities
• Discontinue a product
• Modify a product or its packaging
• Restrict sales to particular geographic regions
• Temporarily suspend sales or shipping
• Limit unusually large quantities
• Cancel orders where a product becomes unavailable

We do not guarantee that a product displayed on our Site will remain available.

5. PRICING & CURRENCY

Prices may vary depending on your location, selected market and currency.

The applicable product price and currency will be displayed before you complete checkout.

Prices may change without prior notice. A price change will not ordinarily affect an order that has already been accepted, except where there has been an obvious pricing, technical or system error and correction is permitted by applicable law.

Depending on your destination and order, additional amounts may include:

6. ORDERS & ORDER ACCEPTANCE

When you place an order, you are making an offer to purchase the products included in that order.

After submitting an order, you will normally receive an electronic confirmation acknowledging that we have received it.

We reserve the right to refuse, limit or cancel an order where reasonably necessary, including because of:

• Product unavailability
• An obvious pricing or listing error
• Payment authorization issues
• Suspected fraud or unauthorized payment activity
• Shipping restrictions
• Customs or regulatory restrictions
• Technical errors
• Unusually large quantities or suspected unauthorized resale
• Violation of these Terms

If we cancel an order after payment has been collected and no amount is otherwise properly owing, the applicable amount will be refunded to the original payment method.

Nothing in this section limits any rights you may have under applicable consumer-protection law.

7. CUSTOMER INFORMATION

You are responsible for providing complete and accurate information when placing an order, including your:

• Email address
• Billing information
• Shipping address
• Telephone number, where required

Please review your information carefully before completing checkout.

Incorrect or incomplete information may result in delays, failed delivery, additional shipping charges or a returned package.

If you discover an error after placing an order, contact support@theinnatelife.co as soon as possible.

We will do our best to assist if the order has not yet been processed or shipped, but changes cannot be guaranteed once processing has begun.

8. PAYMENT

Payment is collected when an order is successfully placed unless another arrangement has expressly been agreed to by The Innate Life.

Payments are processed through Shopify and/or authorized payment providers.

By submitting payment information, you represent that you are authorized to use the applicable payment method and authorize the charges associated with your purchase.

We may hold or cancel an order where payment cannot be verified or where a transaction is reasonably suspected to be fraudulent or unauthorized.

9. TAXES, DUTIES & TARIFFS

Customers are responsible for applicable taxes, duties, tariffs and other government-imposed import charges except where otherwise stated or required by law.

United States Orders

Applicable tariffs for U.S. orders are currently automatically calculated and collected at checkout through our checkout and shipping system.

Tariff regulations and rates may change.

The tariff amount displayed at checkout is based on the products contained in your order and the applicable information available to our checkout and shipping systems at the time of purchase.

If an unexpected request for additional tariff payment is received after shipment, please contact support@theinnatelife.co before making the payment so that we can review the shipment.

Other International Orders

Orders shipped outside the United States may be subject to duties, VAT, taxes, brokerage charges or other import fees imposed by the destination country.

Unless specifically collected at checkout, these charges are not included in the product price or shipping charge paid to The Innate Life.

The recipient is responsible for applicable import charges imposed by the destination country.

10. SHIPPING & DELIVERY

All orders are shipped from Toronto, Canada.

Processing times, estimated transit times, tracking information and other shipping terms are provided in our Shipping & Handling Policy.

Delivery dates are estimates and are not guaranteed.

Delivery may be affected by circumstances outside our reasonable control, including:

• Carrier delays
• Customs processing
• Weather
• Labour disruptions
• Government actions
• Border delays
• Service interruptions
• Regional disruptions
• Incorrect or incomplete addresses

11. REFUSED, UNCLAIMED & RETURNED SHIPMENTS

If a shipment is refused, unclaimed, undeliverable or returned to The Innate Life, our Shipping & Handling Policy will apply.

Where permitted by applicable law, the customer may be responsible for:

• Original shipping charges
• Return shipping charges
• Carrier fees
• Additional shipping charges required for re-shipment

A refund relating to a returned-to-sender package will not be processed until the package has been returned and received at our facility.

For international shipments refused because the recipient chooses not to pay applicable import charges, the original shipping charge and applicable return shipping or carrier charges will be deducted from the eligible refund, subject to applicable law.

12. CANCELLATIONS, RETURNS, EXCHANGES & REFUNDS

Our cancellation, return, exchange and refund terms are set out in our Return Policy.

Customers should review the Return Policy before completing a purchase.

Due to the health, hygiene and product-integrity considerations associated with personal-care products, opened or used products may not qualify for return or exchange except where required by law or where an applicable product is damaged or defective.

Nothing in these Terms or our Return Policy affects statutory consumer rights that cannot lawfully be excluded.

13. DAMAGED, DEFECTIVE OR INCORRECT PRODUCTS

If your order arrives damaged, defective or incorrect, please follow the claim procedure and applicable timeframe described in our Return Policy.

We may request reasonable information necessary to investigate the claim, including:

• Your order number
• A description of the issue
• Photographs of the product
• Photographs of the shipping packaging, where applicable

Please retain the affected product and packaging while your claim is being reviewed.

Your statutory rights concerning defective or non-conforming products remain unaffected.

14. PROMOTIONS & DISCOUNT CODES

Promotional offers and discount codes may be subject to additional conditions displayed with the applicable promotion.

Unless otherwise stated:

• Discount codes must be applied before checkout is completed
• Discounts cannot be applied retroactively
• Promotions may not be combinable
• Discounts have no cash value
• Offers may be subject to eligibility requirements or expiration dates

We may refuse or cancel the use of a promotion where we reasonably determine that it has been obtained or used fraudulently, improperly or contrary to its stated terms.

Nothing in this section permits us to alter a promotion in a manner prohibited by applicable law.

Despite our efforts to maintain accurate information, our Site may occasionally contain errors or omissions concerning:

• Shipping charges
• Availability
• Transit estimates
• Duties or tariffs

We may correct errors and update information when discovered.

If a material error affects an order you have already submitted, we may contact you regarding the corrected information or cancel and refund the affected order where appropriate and permitted by law.

We will not knowingly charge a customer more than the applicable advertised or agreed price contrary to applicable law.

Unless expressly stated otherwise, The Innate Life's haircare and scalp-care products are cosmetic and personal-care products.

Information provided on our Site, product pages, packaging, social-media channels, marketing materials, blog content or customer communications is intended to provide general product information.

Our cosmetic products are not intended to diagnose, treat, cure or prevent disease.

Nothing on our Site should be interpreted as medical advice.

17. INDIVIDUAL RESULTS

Hair and scalp characteristics differ from person to person.

Individual experiences may vary depending on numerous factors, including hair type, scalp condition, product usage, routine, consistency, styling practices and other individual or environmental factors.

Accordingly, The Innate Life does not guarantee hair growth, hair regrowth, prevention of hair loss, or any specific result or timeframe.

Any timeframe discussed on our Site is an estimate or description of individual experiences rather than a guarantee of results unless expressly stated otherwise.

18. PRODUCT USE, ALLERGIES & SENSITIVITIES

Customers are responsible for reviewing product ingredient lists, directions, warnings and storage instructions before use.

If you have known allergies or sensitivities, carefully review the complete ingredient list before using a product.

We recommend patch testing new products, particularly for individuals with sensitive skin or known sensitivities to botanical ingredients or essential oils.

Discontinue use if irritation or an adverse reaction occurs.

Products should be used only as directed.

19. REVIEWS, TESTIMONIALS & CUSTOMER RESULTS

Our Site may display customer reviews, ratings, testimonials, photographs, videos or descriptions of customer experiences.

Where you expressly submit or authorize content for publication or promotional use, you grant The Innate Life a non-exclusive, worldwide, royalty-free licence to reproduce, display and use that content for the purposes for which it was submitted or authorized, subject to applicable law.

Unless otherwise stated, the Site and its original content are owned by or licensed to The Innate Life and are protected by applicable intellectual-property laws.

You may use the Site for personal, non-commercial purposes.

We are not responsible for losses resulting solely from circumstances outside our reasonable control, subject to applicable law.

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

Nothing in this section affects mandatory consumer rights or remedies available under applicable law.

29. INDEMNIFICATION

To the extent permitted by applicable law, you agree to be responsible for losses, liabilities or reasonable costs incurred by The Innate Life as a direct result of your unlawful use of the Site, your material violation of these Terms, or your infringement of another person's rights.

This provision does not apply to the extent that the loss or liability resulted from an act or omission of The Innate Life or where such responsibility cannot lawfully be imposed on a consumer.

30. GOVERNING LAW

These Terms and your use of the Site are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.

However, if you reside in another jurisdiction, nothing in this section deprives you of mandatory consumer-protection rights that apply to you and cannot lawfully be waived by contract.

31. SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary where permitted, and the remaining provisions will continue in effect.

32. NO WAIVER

If we do not immediately enforce a provision of these Terms, this does not mean that we have waived our right to enforce that provision later.

A waiver on one occasion does not constitute a waiver on another occasion.

33. ENTIRE AGREEMENT

These Terms, together with our:

• Return Policy

and any additional terms expressly presented in connection with a particular order or promotion constitute the applicable agreement between you and The Innate Life concerning your use of the Site and purchase of our products.

If there is a conflict between these Terms and a more specific policy or term relating to a particular transaction, the more specific term will apply to that matter, subject to applicable law.

34. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes to our business, Site, policies, services or applicable requirements.

The revised Terms will display an updated "Last Updated" date.

Changes generally apply prospectively and will not retroactively alter the material terms of a completed purchase except where required or permitted by law.
